What are the responsibilities and job description for the Corporate Counsel position at Mainstay Maritime?
Manages and supports legal, compliance and risk management matters and projects, including without limitation commercial contracts related to maritime transportation and logistics, adverse proceedings (including litigation, arbitration and mediation), corporate transactions, labor and employment matters, insurance, and other corporate initiatives.
Responsibilities:
· Draft, review and negotiate a wide variety of agreements, including but not limited to commercial contracts related to maritime transportation and logistics, vendor contracts, services agreements, leases and confidentiality agreements
· Manage and resolve legal disputes, including in litigation, arbitration and mediation, to protect company assets and reputation. Develop dispute resolution strategy in partnership with General Counsel. Oversee external legal counsel as necessary.
· Provide advice and counsel regarding legal and other risks throughout the organization. Develop and execute strategy to mitigate risks throughout the company. Support risk management initiatives, including insurance. Prepare clear and accurate internal and external communications.
· Research, advise on, provide training on, and ensure compliance with applicable federal, state and local laws and regulations, in particular U.S. and Canadian maritime regulations. Provide legal support related to the company’s activities with industry and trade organizations.
· Provide support on corporate governance matters, including preparing resolutions and board materials. Assist the General Counsel with corporate transactions such as acquisitions, corporate financings, and joint ventures. Provide legal support for incident response, crisis management and data security events. Perform other
duties as directed by the General Counsel.
Preferred Education / Experience:
· Juris Doctorate; Licensed to practice law in New York State
· 4 years of legal experience
· Prior in-house counsel experience preferred
· Maritime law experience preferred

Salary : $124,000 - $145,000
