We are seeking a highly skilled and experienced Corporate Securities Attorney to join our team at Lovefreedom Solution in Miami, FL. As a Corporate Securities Attorney, you will be responsible for providing legal counsel and support to our company on a wide range of corporate securities matters.
Key Responsibilities:
- Provide legal advice and support on corporate securities matters, including SEC reporting and compliance, public and private offerings, and corporate governance
- Draft and review securities-related documents, such as registration statements, prospectuses, and other offering materials
- Conduct legal research and stay up-to-date on securities laws and regulations
- Work closely with the company's finance and accounting teams to ensure compliance with securities laws and regulations
- Advise on corporate transactions, such as mergers and acquisitions, and assist with due diligence and drafting of related documents
- Assist with the preparation and review of board and shareholder meeting materials
- Collaborate with external counsel on complex legal matters and manage relationships with outside legal advisors
- Train and educate company executives and employees on securities laws and regulations
- Monitor and advise on changes in securities laws and regulations that may impact the company's operations
- Handle any other legal matters as needed to support the company's business objectives
- Juris Doctor degree from an accredited law school
- Active membership in the Florida State Bar or ability to become licensed in Florida
- Minimum of 5 years of experience as a Corporate Securities Attorney, preferably in a law firm or in-house legal department
- Extensive knowledge of securities laws and regulations, including the Securities Act of 1933, Securities Exchange Act of 1934, and Sarbanes-Oxley Act
- Experience with SEC reporting and compliance, public and private offerings, and corporate governance
- Strong analytical and problem-solving skills
- Excellent written and verbal communication skills
- Ability to work independently and as part of a team
- Detail-oriented with strong organizational skills
- Proven track record of providing sound legal advice and managing complex legal matters
- Ability to handle multiple tasks and prioritize effectively in a fast-paced environment
Salary : $425,000 - $435,000
