Loomis Sayles is committed to offering competitive and equitable compensation. The salary range for this position is $162,225 - $220,000 USD. Your starting salary will be based on your experience, skills, qualifications and local benchmarking. This position is also eligible for a discretionary annual incentive award, which is based on individual and company performance. - Responsible for providing support to the General Counsel’s office for their negotiation of investment management agreements and private fund subscription agreements
- Review and negotiation of vendor contracts, review and negotiation of non-disclosure agreements, legal research, fund formation and dissolution
- Review and drafting of regulatory and client disclosure (15(c) questionnaires, RFPs, Form ADV), and marketing and advertising review; assisting with regulatory audits, general corporate work, and, under the supervision of the Assistant General Counsels
- Participating in special projects, such as new product development, subsidiary openings and dissolutions, and foreign registrations
- Leveraging knowledge of legal framework applicable to registered investment advisers, including Investment Advisers Act of 1940, Investment Company Act of 1940, Securities Act of 1933, Securities Exchange Act of 1934, CFTC Rules and Regulations, and ERISA, as well as general corporate law to perform legal analysis
- Providing legal analysis to senior lawyers in connection with their advice on day-to-day investment management activities, such as investment management agreements, trading-related agreements, private fund formation and investment documents, and general corporate and governance matters
- Supporting all legal aspects of Loomis’s separate account, private fund, SMA/wrap, group trust, and sub-advisory relationships; providing initial interpretations of statutes, rules and policies applicable to the business
- Working closely with colleagues in the General Counsel’s office to meet the firm’s business objectives within the local regulatory environment
- Interpreting laws, rulings and regulations for individuals and businesses
- Preparing, drafting, and reviewing legal documents
- Juris Doctor degree plus one (1) year of experience as an Associate General Counsel or related position in the investment management legal and regulatory field.
- Member of the bar in Massachusetts or other U.S. state
- Legal framework applicable to registered investment advisers, including Investment Advisers Act of 1940, Investment Company Act of 1940, Securities Act of 1933, Securities Exchange Act of 1934, CFTC Rules and Regulations, and ERISA
- Experience in corporate law
