The Opportunity
A highly regarded Chicago law firm is looking to add an experienced Corporate Associate Attorney to its transactional practice.
The role provides sophisticated corporate work within a smaller and more collaborative platform than traditional Big Law, with significant exposure to M&A, private company transactions, governance and commercial agreements.
The successful attorney will have the opportunity to take meaningful responsibility for transactions, work directly with clients and develop their practice over the longer term.
Responsibilities
- Advise clients on domestic M&A transactions.
- Draft and negotiate purchase agreements and ancillary transaction documents.
- Advise on corporate formations and restructurings.
- Draft operating agreements, shareholder agreements and buy/sell agreements.
- Handle corporate governance matters.
- Draft and negotiate commercial agreements.
- Support private equity and venture capital transactions where relevant.
- Manage transactions and liaise directly with clients and other advisers.
Candidate Requirements
- 4–7 years of corporate transactional experience.
- Meaningful M&A experience.
- Strong drafting and negotiation skills.
- Experience with corporate governance and commercial agreements.
- Private equity or venture capital experience is advantageous.
- J.D. from an accredited law school.
- Illinois admission or eligibility for admission by waiver.
- Strong client-facing and transaction-management skills.
Salary : $197,500 - $225,000
