Job Summary
The Corporate Counsel serves as a strategic legal advisor to the organization, providing guidance on a wide range of legal matters including commercial contracts, regulatory compliance, employment issues, and corporate governance. This role partners closely with leadership and cross-functional teams to support business objectives while minimizing legal exposure.
Key Responsibilities
- Draft, review, negotiate, and manage commercial agreements, including vendor, customer, partnership, and confidentiality agreements.
- Advise business units on legal risks, regulatory requirements, and compliance matters.
- Support corporate governance activities, including board resolutions, policies, and corporate filings.
- Ensure compliance with applicable federal, state, and local laws and regulations.
- Assist with employment-related legal matters and internal investigations.
- Develop and maintain company policies and legal procedures.
- Conduct legal research and provide practical business-oriented recommendations.
Qualifications
- Juris Doctor (JD) degree from an accredited law school.
- Active license to practice law in at least one U.S. jurisdiction.
- 3-5 years of Corporate Counsel experience
- Strong knowledge of corporate, commercial, and contract law.
- Excellent negotiation, analytical, and communication skills.
- Ability to manage multiple projects in a fast-paced environment.
- Strong business judgment and problem-solving abilities.
