A leading global law firm is seeking a mid-level associate with 3–8 years of capital markets experience to join its sophisticated Corporate Finance and Capital Markets platform. Note that you may sit in NYC, Boston, DC or Philadelphia.
The practice advises clients across a broad spectrum of public and private capital markets transactions, with a particular focus on sponsor-side and alternative asset management representations. The group regularly handles complex domestic and cross-border matters involving public offerings, private placements, structured financings, hybrid capital products, permanent capital vehicles, and other strategic financing transactions.
The platform is especially well known for its work at the intersection of capital markets, private funds, private credit, investment management, and financial institutions. Lawyers in the group work closely with colleagues across private equity, structured finance, regulatory, and investment management teams to advise clients on integrated financing and capital formation strategies.
Representative clients include:
- major asset managers and alternative investment platforms
- private equity sponsors and portfolio companies
- private credit and direct lending platforms
- business development companies and other permanent capital vehicles
- underwriters and placement agents
- growth-stage, technology, fintech, healthcare, and life sciences companies
The practice offers associates exposure to a highly diversified mix of transactions, including:

Qualifications
Candidates should have:
- 3–8 years of capital markets and securities experience at a large law firm
- experience representing issuers, underwriters, and placement agents in public offerings, private placements, and other securities transactions
- familiarity with Securities Act and Exchange Act compliance and reporting matters
- experience managing substantial portions of transactions, including drafting, diligence, and execution responsibilities
- strong analytical, communication, and project management skills
Experience with business development companies (BDCs), registered funds, ETFs, permanent capital vehicles, or other Investment Company Act-related matters is highly desirable.
Compensation is competitive and commensurate with experience and class year, $260,000-$435,000 base.
