A fast-growing, vertically integrated renewable energy company headquartered in Washington, D.C. is seeking an experienced attorney to serve as Associate Counsel & Vice President of Legal. The organization is a market leader in distributed solar, with a mission-driven team focused on accelerating the clean energy transition. The legal function is embedded in all phases of the project lifecycle, including origination, development, construction, financing, and long-term asset ownership.
This position reports directly to the General Counsel and will support legal matters across the front end of the business, with a focus on origination, development, EPC, and offtake. The role also includes responsibility for corporate governance and strategic initiatives. The ideal candidate will have experience in renewable energy transactions, project development, and commercial contracting.
Responsibilities:
- Draft and negotiate site control agreements including leases, easements, and licenses.
- Review title commitments, ALTA surveys, and coordinate with title insurers and local counsel.
- Advise on land use, zoning, and permitting matters.
- Support interconnection applications and utility coordination.
- Address environmental diligence and regulatory disclosures.
- Structure and negotiate development services agreements, joint development arrangements, and co-development partnerships.
- Manage legal aspects of project entity formation, governance, and ownership structuring.
- Lead legal diligence and documentation for project acquisitions and sales.
- Coordinate with internal teams and external counsel on tax equity and debt financing transactions.
- Review and negotiate term sheets, purchase and sale agreements, and closing deliverables.
- Draft and negotiate EPC contracts, subcontractor agreements, and equipment supply contracts.
- Advise on construction risk allocation, liquidated damages, bonding, and insurance requirements.
- Support claims management, change orders, and dispute resolution.
- Ensure compliance with applicable building codes, OSHA standards, and contractor licensing.
- Negotiate power purchase agreements (PPAs), net metering credit agreements, and subscription contracts.
- Draft and review REC sale agreements and community solar off-take documentation.
- Advise on regulatory compliance related to energy sales, consumer protection, and disclosure requirements.
- Support customer on-boarding, contract enforcement, and revenue assurance.
- Provide legal guidance on corporate governance, employment matters, and internal policies.
- Manage outside counsel relationships and legal budget.
- Monitor legislative and regulatory developments affecting solar markets.
- Support strategic initiatives including M&A, market expansion, and new product offerings.
Qualifications:
- Juris Doctor from an accredited law school.
- Active bar membership in at least one U.S. jurisdiction, with ability to practice in D.C.
- Minimum of 7 years of legal experience, with a strong preference for candidates with prior experience in the renewable energy sector.
- Proficiency in drafting and negotiating complex commercial agreements.
- Familiarity with solar project development, construction, and off-take structures.
- Ability to work independently and manage multiple work streams across departments.
