Job Summary
The Associate General Counsel will help manage a broad array of real estate transactions and general corporate matters which include an affiliated home building company, real estate development company, and a portfolio of apartment complexes, among others. Projects will include drafting contracts for land acquisitions, lot purchases, and various other commercial transactions and managing all aspects of real estate transactions. This role will work directly with company leaders providing direction and guidance to facilitate business deals from start to finish. Additionally, this role will assist with customer disputes and resolution. The Associate General Counsel will work with business team members and must communicate with confidence and keep transactions moving forward to closure. This position will include generalist corporate duties outside the normal scope of real estate transactions.
Responsibilities
- Conduct legal research and analysis on various legal matters.
- Conduct title due diligence as part of any real estate acquisition including review and analysis of title commitments, exception documents, surveys, and closing requirements.
- Counsel management on day-to-day operations, decision making, and legal issues pertaining to risk management, contracts, customer complaints and demands, development projects, and other legal matters.
- Draft real estate acquisition and lot purchase agreements and related transaction documents, and advise on title, survey, diligence, entitlement, closing, and development-related issues.
- Draft, review, and negotiate service, supplier, and vendor agreements and other commercial agreements.
- Manage and work with outside legal counsel on litigation matters, including review of all pleadings and settlement documents and compilation of discovery documents and, as needed, assist outside legal counsel in hearings, mediations, trials, and contested proceedings.
- Manage real estate transactions and closings from contract through post-closing and coordinate with lenders, title companies and internal team members to ensure smooth and timely closings.
- Represent the company with third parties and external stakeholders in a positive, professional manner and communicate with clear, responsive and timely communications.
Qualifications
- JD from an accredited law school.
- Active and in good standing with the State Bar of Texas
- Real estate transactional experience required (experience in land acquisition, land development, homebuilding, commercial real estate, construction, or a closely related practice is preferred).
- 5 years of legal experience in a law firm.
- Ability to establish and maintain positive, productive working relationships with co-workers, subordinates, and internal/external customers
