Job Description

The Corporate Development Senior Associate will play a key role in supporting all aspects of Kiteworks’ M&A process, including strategy development, market analysis, sourcing, valuation, due diligence, transaction execution, and post-closing value creation.


This role requires strong analytical and financial skills, exceptional attention to detail, and the ability to communicate effectively with founders, advisors, and senior executives. The ideal candidate is organized, proactive, and thrives in a fast-paced environment with high ownership and accountability.


This position reports to the Senior Manager of Corporate Development and sits within the broader Corporate & Business Development team. This is a hybrid role based in San Mateo, CA, with an expectation of working in the office at least three days per week and occasional travel to meet with acquisition targets.

What You'll Do

  • Research and identify acquisition opportunities to support Kiteworks’ inorganic growth strategy, including market mapping across geographies and technology segments
  • Conduct initial screening of potential targets to assess strategic and financial fit
  • Build and maintain detailed financial models and analyses for prospective acquisitions
  • Own virtual data room (VDR) review and analysis, identifying key risks, insights, and value drivers
  • Manage due diligence workstreams, coordinating with internal teams (finance, legal, product, security, IT, go-to-market) and external advisors
  • Lead diligence discussions with target company management and review key operational and financial materials
  • Support negotiation and review of transaction documents including term sheets and purchase agreements
  • Prepare high-quality written reports, investment memoranda, and executive presentations for leadership and the Board of Directors
  • Present insights and updates to senior leadership including the CEO and executive team
  • Track relevant market developments including competitive activity, fundraising, and investment trends
  • Support development of the company’s long-term M&A and inorganic growth strategy
  • Improve corporate development processes and pipeline management, including evaluating AI-enabled tools to enhance productivity and deal execution


What You'll Bring

  • Bachelor’s degree (finance, accounting, economics, or technical field preferred)
  • 6 years of experience in M&A, investment banking, private equity, venture capital, corporate development, transaction advisory, or consulting with significant deal exposure
  • Proven experience supporting transactions across sourcing, diligence, negotiation, and closing
  • Strong analytical and financial modeling skills with advanced Microsoft Excel expertise
  • Ability to synthesize large volumes of diligence materials and identify key insights
  • Excellent written and verbal communication skills with the ability to present to senior executives
  • Experience coordinating cross-functional teams without formal authority
  • Highly organized, self-motivated, and comfortable operating in a fast-paced environment

Preferred Qualifications

  • Experience in the software or SaaS industry
  • Familiarity with cybersecurity, privacy, compliance, or other highly technical software domains
  • Experience building or working with AI agents or AI-driven workflows

Compensation Range

  • Annual Base Salary Range: $140,000 – $175,000
  • Base pay depends on many factors, such as location, education, experience, and skills. Base pay is only one part of Kiteworks competitive Total Rewards package that can include benefits, perks, equity, and bonuses. The base pay range is subject to change and may be modified in the future.


Job Benefits

  • Medical: Three Cigna plans (PPO250, EPO, HDHP3300); employees pay 10% of premiums for the PPO and EPO plans and no premium contribution for the HDHP plan.
  • HSA: Company contributes $1,200–$2,400/year for HDHP enrollees
  • Dental & Vision: Fully employer-paid (Cigna/EyeMed)
  • FSA: Healthcare FSA ($3,400) and Dependent Care FSA ($7,500)
  • 401(k): 100% match on first 75% of deferred compensation, capped at $5,000; immediately vested
  • Life & Disability: Fully employer-paid; BasicLife/AD&D (1× salary up to $200K), STD (60% salary for non-CA employees and 20% for CA employees up to $2,500/week), LTD (60% salary up to $12,500/month)
  • Parental Leave: 8 weeks for non-birthing parents;16 weeks for birthing parents (100% base salary)

Kiteworks Background Check: This position requires passing the Kiteworks background check upon hire/transfer and every two years thereafter.
