Corporate Securities Associate

Kelley Drye & Warren LLP’s Corporate Practice Group is seeking a highly motivated mid-level associate with a solid background in securities matters and/or lending work.  Ideal candidates will enjoy the variety and diversity of a broad-based corporate practice, have previous law firm experience, and at least 5 years of experience.

Responsibilities:

• Provide expert legal advice and guidance on mergers and acquisitions, private securities offerings, corporate governance, and other related matters
• Draft and negotiate complex transactional documents, including purchase agreements, shareholder agreements, and confidentiality agreements
• Conduct due diligence investigations and prepare comprehensive reports for clients
• Manage and oversee junior associates and paralegals on various transactions
• Collaborate with cross-functional teams to ensure seamless execution of deals
• Stay updated on relevant legal developments and industry trends to provide proactive and strategic advice to clients
• Represent clients in negotiations, mediations, and other dispute resolution processes, when necessary
• Public securities and stock exchange compliance including 34 Act, and 33 Act a plus

Requirements:

• Juris Doctor (J.D.) degree from an accredited law school
• Minimum of five years of law firm experience in general mergers and acquisitions matters
• Strong knowledge of corporate law, securities regulations, and corporate governance principles
• Excellent drafting and negotiation skills, with a keen attention to detail
• Proven ability to manage multiple complex projects simultaneously
• Exceptional analytical and problem-solving abilities
• Excellent interpersonal and communication skills, both written and verbal
• Ability to work independently and collaboratively in a fast-paced and demanding environment

We have a strong preference for the candidate to be based in our Chicago office.  Bar admission is required in an attorney’s resident and/or affiliated office.

The salary range displayed is specifically for those potential hires who will work or reside in Chicago if selected for the role. Any offered salary is determined based on internal equity, internal salary ranges, market data/ranges, applicant’s skills and prior relevant experience, certain degrees, and certifications (e.g., JD/technology) for example.
