Leading investment management firm is seeking a Director, Legal and Compliance to join their dynamic team in Jacksonville, FL.
Act as lead legal advisor and coordinator for all legal agreements associated with the investment management, commercial agreements, and compliance program for the firm.
- Review, analyze and negotiate contractual arrangements supporting the firm’s investment activities including investment partnership agreements, side letters, separately managed account agreements, amendments, subscription, termination and other agreements.
- Serve as the key point of contact of coordination for flex third-party legal providers to successfully manage high-volume legal workflow periods in a deadline driven environment.
- Manage the completion of subscription and other documentation to support execution of agreements.
- Review and negotiate a range of commercial contracts such as vendor agreements, nondisclosure agreements, and other business-related contracts.
- Assist in developing strategies around investment structure to proactively manage and mitigate the firm's legal, business, tax and other regulatory risks.
- Proactively stay abreast of current and developing non-profit tax laws and regulations, and any state and ERISA regulatory issues which could impact the firm’s investments or operations. Advise firm personnel on such developments and assist in creating strategy and tactics to address their implications.
Qualifications:
- Juris Doctor from an accredited institution and at least seven years of legal experience.
- A record of strong academic and professional achievement.
- Law firm training in sophisticated fund formation
- Experience at an asset management firm or investment office of an endowment, foundation, or other nonprofit is highly desired.
- Expertise and experience in structuring, negotiating, and drafting complex contractual relationships involving financial investments, as well as sophisticated knowledge of the Investment Advisers Act and relevant laws.
- Seasoned judgment in effectively and efficiently engaging with external legal experts to analyze complex issues.
- Solid organizational skills and ability to manage multiple projects and prioritize competing demands.
- Polished negotiating and drafting skills and the ability to explain legal complexity to non-lawyers.
- Excellent oral and written communications skills.
