The Role
Work closely with our team to guide clients through venture law matters, from corporate formation to fundraising, commercial contracts, securities compliance, and M&A. You’ll help build a scalable, process-driven firm that prioritizes efficiency and client success, and shape our growth in Chattanooga while serving a national client base.
Responsibilities
- Advising startups and investors on entity formation, equity distribution, and governance matters.
- Structuring and negotiating private placement transactions (e.g., Reg D).
- Drafting and negotiating commercial contracts and supporting M&A transactions.
- Advising clients on regulatory matters (e.g., the Securities Act, the Advisers Act, and the Investment Company Act).
- Collaborating and standardizing workflows and tech-driven approaches to enhance efficiency and client experience.
Qualifications
- JD and active Tennessee bar membership (or eligibility to waive in).
- 3-5 years of corporate law experience (private equity or M&A exposure a plus).
- An entrepreneurial, proactive mindset with a hunger to learn, scale your practice, and forge client relationships.
- Significant experience leveraging newer technology (e.g., Notion, Loom, AI tools).
- Must be willing to work in-office in Chattanooga, TN.
