Corporate Associate

Job description: Our Client is actively seeking aCorporate Associatewithfour to seven years of experienceto join one of their offices in Boston, Stamford, New Haven, or New York. This position offers an opportunity to work oncomplex corporate transactionsin a sophisticated and collaborative law firm environment.

Key Responsibilities:

• Transactional Work:Draft, review, and negotiate agreements for complex transactions, includingMergers & Acquisitions (M&A), Venture Capital, and Private Equitytransactions.
• Corporate Governance:Advise clients on corporate governance matters, entity structuring, and best practices for compliance.
• Securities Compliance:Assist clients withsecurities law compliance, including filings, disclosure obligations, and regulatory matters.
• Client Advisory:Work closely with corporate clients, including startups, private equity firms, and established businesses, providing strategic guidance on transactions and corporate matters.
• Cross-functional Collaboration:Partner with attorneys across practice areas such as tax, IP, and finance to ensure seamless deal execution.
  
  

Qualifications: Qualifications:

• Experience Level:4-7 years of relevant law firm experience.
• Transactional Expertise:Strong background in M&A, Venture Capital, or othercomplex corporate transactions.
• Corporate & Securities Law:Familiarity withsecurities law complianceand corporate governance is a plus.
• Strong Drafting & Negotiation Skills:Ability to draft and negotiate transaction documents efficiently.
• Jurisdiction:Admission to the bar in at least one of the states where our Client has an office (MA, CT, NY) or the ability to become admitted.
