Transaction Tax Senior (M&A)

Role Overview

This hire will be a key client-facing member of the deal team. You’ll analyze tax issues on M&A transactions, translate findings into insurable risk, and quarterback the placement of tax insurance solutions with carrier partners. You’ll work closely with clients, counsel, and insurers to craft terms that align with deal objectives and efficiently mitigate tax risks.

Responsibilities:

• Lead and/or support tax diligence on M&A deals to identify insurable exposures (e.g., uncertain tax positions, structuring risks, post-closing exposures).
• Draft clear risk summaries, underwriting submissions, and deal memos for carrier markets.
• Run the placement process end-to-end: coordinate market outreach, manage Q&A, negotiate indicative terms, premiums, and exclusions.
• Review and negotiate policy wording (with senior brokers and counsel) to reflect deal realities and client priorities.
• Advise clients on market, pricing, and coverage mechanics; present options and recommendations.

Requirements:

• Bachelor’s in Accounting, Tax, Finance, or related field; JD is a plus but not required.
• 2-4 years of M&A tax experience (Big Four, law firm, or transaction advisory).
• Solid understanding of M&A tax issues, diligence, and transaction structuring; ability to assess and articulate risk.
• Strong drafting, negotiation, and client communication skills; comfortable in fast deal cycles with multiple stakeholders.
• Detail-oriented, organized, and motivated, able to manage concurrent deals and deadlines.
• Prior exposure to transactional risk/insurance is a plus; curiosity to learn the brokerage side is essential.
