This position will be responsible for legal spend and vendor management, contract administration, managing the lifecycle of our corporate entities, assisting with the legal due diligence of new acquisitions (M&A), conducting legal research, litigation support, corporate governance, risk management and ensuring that our clinical operations remain compliant with state-specific healthcare regulations.

Job Description

Key Responsibilities
- Entity Management & Governance: Maintain corporate records for all subsidiaries; manage annual reports, foreign qualifications, and DBAs across multiple states.
- Legal Spend & Vendor Management: Review invoices from external law firms and legal vendors, and track and report out on monthly and quarterly legal.
- M&A Support: Assist in the closing process for new clinic acquisitions, including document preparation, signature tracking, and post-closing integration.
- Contract Lifecycle Management: Draft, review, and organize standard agreements such as Non Disclosure Agreements, Business Associate Agreements, Facility Use Agreements and Vendor Agreements.
- Regulatory Compliance: Support the Legal and Compliance Teams by conducting legal research and ensuring adherence to HIPAA and healthcare-specific regulatory filings.
- Board & Executive Support: Prepare board minutes, resolutions, and maintain the corporate seal and minute books.
- Litigation and Risk Management Support: Assist with incident reporting, insurance claims and coordination with insurers and outside counsel
- Experience: 3 years of administrative experience in a healthcare legal setting (in-house legal department or law firm healthcare group)
- Education: Bachelor’s degree; Paralegal Certification preferred.
- Technical: Proficiency High expertise in Entity Management Software (e.g., Cogency), contract lifecycle management (CLM) software and e-signature tools (e.g., Docusign). High proficiency in Microsoft Office Suite (Word, Excel, Powerpoint) for document formatting and reporting. Experience with Jotform and Smartsheet is a plus.
- Communication: Ability to translate complex legal requirements into actionable steps for support services stakeholders, clinic directors and regional leaders.
