The Contracts & Compliance Manager supports the company’s legal, compliance, and operational functions by managing contract workflows, coordinating vendor documentation, assisting with compliance programs, and supporting the administration of business insurance policies and renewals. This role is responsible for maintaining accurate legal records, tracking agreements, preparing filings, assisting with audits, and ensuring the organization adheres to internal policies and regulatory requirements.

The ideal candidate is detail-oriented, organized, and able to work cross-functionally to reduce risk, strengthen governance, and support the overall legal and compliance framework of the business.


ESSENTIAL DUTIES & RESPONSIBILITIES

  • Contract Administration (NDAs, MSAs, SOWs, Vendor Agreements)
  • Draft, review, and manage standard NDAs, MSAs, SOWs, amendments, COIs, and vendor documents.
  • Maintain the contract database and ensure all agreements are up to date, organized, and properly executed.
  • Track contract deadlines, renewals, obligations, and compliance requirements.
  • Coordinate contract redlines and facilitates communication between internal stakeholders, legal counsel, and vendors.
  • Support the development and refinement of contract templates and playbooks.


COMPLIANCE SUPPORT

  • Assist in maintaining the company’s compliance program, including policies, procedures, and regulatory documentation.
  • Help prepare materials for internal and external compliance audits.
  • Conduct research on regulatory obligations to support compliance initiatives.
  • Support internal compliance training and documentation updates.


RISK MANAGEMENT

  • Assist with identifying, documenting, and monitoring operational and contractual risks.
  • Maintain risk logs, compliance checklists, and corrective action trackers.
  • Support legal counsel in drafting risk mitigation plans and updating internal policies.


INSURANCE MANAGEMENT & RENEWALS

  • Coordinate business insurance renewals by collecting data, filling out applications, and working with brokers/carriers.
  • Review policy documents, endorsements, certificates of insurance (COIs), and coverage summaries.
  • Track policy renewals, claims, deductibles, and required documentation across departments.
  • Assist with coverage evaluations and assessments of insurance gaps or emerging risks.


VENDOR COMPLIANCE & DOCUMENTATION

  • Support vendor onboarding, due diligence, and document collection.
  • Maintain vendor files and compliance records
  • Assist in preparing vendor scorecards and performance documentation.
  • Ensure all vendors meet contractual and insurance requirements prior to activation.


LEGAL OPERATIONS & PROCESS MANAGEMENT

  • Maintain legal files, records, and databases with accuracy and confidentiality.
  • Assist with legal research and support document preparation for meetings and regulatory filings.
  • Support process improvements for contracts, compliance, document management, and insurance workflows.
  • Coordinate communications between legal, finance, procurement, operations, and risk teams.


EDUCATION REQUIREMENTS & QUALIFICATIONS

  • Associate or bachelor’s degree required; Paralegal Certification preferred.
  • 2–6 years of experience in a paralegal, contracts, compliance, or legal operations role.
  • Strong understanding of NDAs, MSAs, insurance requirements, vendor compliance, and contract lifecycles.
  • Excellent attention to detail and organizational skills.
  • Ability to manage multiple tasks and deadlines in a fast-paced environment.
  • Strong written and verbal communication skills.
