CORPORATE IN-HOUSE COUNSEL Henderson / Las Vegas, NV | On-Site (5 Days/Week) | Local Candidates Only
Compensation: $175,000 – $225,000 base 20–25% discretionary bonus full benefits package
The Company A confidential, high-profile firm operating in the bankruptcy and restructuring sector. Fast-paced, complex, and deeply specialized — this is not a typical in-house role. You'll sit at the intersection of corporate law, regulatory matters, and real business decisions, working directly alongside senior leadership and reporting to the General Counsel.
What You'll Be Doing
As Corporate Counsel, you'll be a true generalist with a lean toward contracts, governance, and restructuring matters. Day to day, that means:
- Advising senior leadership on corporate, operational, and regulatory issues with practical, business-first guidance
- Drafting, reviewing, and negotiating contracts — client engagements, vendor agreements, strategic arrangements
- Supporting corporate governance: entity management, board matters, internal governance
- Handling legal matters across restructuring and insolvency (Chapter 11, receiverships, court-mandated actions, retention applications)
- Advising on U.S. and international employment, tax, permits, and cross-border operational matters
- Managing data protection and privacy issues — GDPR and U.S. frameworks
- Coordinating insurance, risk transfer, and coverage questions
- Supporting fiduciary, expert, and advisory engagements
- Managing litigation and disputes, including outside counsel coordination
- Conducting due diligence and supporting business development and growth initiatives
- Collaborating cross-functionally with HR, Finance, Operations, and Compliance
What You Bring
- J.D. from an accredited law school
- Active U.S. State Bar membership in good standing
- 4–6 years of experience in a law firm and/or in-house legal role
- Solid contract drafting, review, and negotiation experience
- Demonstrated corporate governance experience
- Exposure to restructuring, insolvency, or Chapter 11/receivership proceedings — a strong plus
- Familiarity with GDPR, U.S. privacy frameworks, and insurance-related matters preferred
- The ability to operate at pace, manage ambiguity, and juggle a high volume of varied legal questions without losing the thread
