Hudson Structured Capital Management Ltd. is looking to hire a lawyer with three to five years of experience to join its legal and compliance team to advise on a broad range of significant legal and regulatory matters, including fund formation, legal entity management and portfolio investments.

This role is ideal for an aspiring mid-level attorney with experience advising on private investment transactions and/or fund formation who also seeks broader exposure and hands-on experience working at a growing and diverse asset manager.
The role involves the following:
- Manage and support fund and separate account formation, investor negotiations and ongoing legal entity formation and management, including the drafting of documents such as private placement memoranda, subscription documents, side letters, partnership agreements, investment management agreements and co-investment documentation.
- Implementing and managing fund-level financing arrangements (e.g., NAV loans and subscription facilities).
- Coordinating, advising, and/or performing legal review with the investment team and outside counsel on investment transactions, which may include new investments, follow-ons, sales, mergers, and restructurings of portfolio companies.
- Supporting the General Counsel and Chief Compliance Officer on compliance matters, including regulatory filings.
- Managing NDA review and tracking.
- Reviewing and negotiating contracts with vendors and service providers, etc.
Qualifications
- Three to five years of experience at a leading law firm or financial institution in the areas of investment management or private equity.
- J.D. or equivalent degree. Applicants must be licensed to practice law in New York or Connecticut.
- Demonstrates strong business judgment and project management skills.
- Excellent organizational, interpersonal, and written and verbal communication skills.
- Highly motivated and adaptable – energetic and hardworking team player.
- Ability to be effective in a small organization (~40 people) with an entrepreneurial mindset, which includes having flexibility and interest in taking on a variety of tasks to support the Firm’s growth.
Additional Information
- Location: Predominantly in Stamford, CT with ability to spend time in the New York, NY office.
- In office required with some work from home flexibility.
