Head of Legal

We’re looking for a Head of Legal who operates with a paralegal’s precision and a business partner’s mindset. This role is perfect for someone who thrives at the intersection of legal rigor and operational execution—drafting and reviewing corporate contracts, coordinating with internal and external counsel, managing compliance requirements, and ensuring our legal foundation stays rock-solid as the company expands internationally.

Key Responsibilities

Contracts & Corporate Governance

• Draft, review, and manage corporate contracts, NDAs, service agreements, and vendor/partner documents.
• Ensure all agreements align with regulatory and corporate requirements.
• Maintain and update corporate records, resolutions, and governance documents.

Legal Operations & Attorney Coordination

• Serve as the primary internal point of contact for outside counsel.
• Coordinate attorney workflows, litigation-prep items, and matter management.
• Handle communication with registered agents and manage entity filings across multiple jurisdictions.

Compliance & Insurance

• Oversee compliance calendars, renewal cycles, and regulatory deadlines.
• Manage corporate insurance policies and certificates of insurance.
• Support internal audits and assist with risk-management initiatives.

International Support

• Assist with cross-border contracts and entity management.
• Support trade finance-related documentation and compliance needs.
• Research and coordinate legal requirements for new markets and international partners.

Qualifications

Must-Haves

• 5 years of legal experience (paralegal, legal operations, or contracts-focused role).
• Strong experience reviewing, drafting, and managing corporate contracts.
• Comfortable interacting with and coordinating the work of external attorneys.
• Experience with registered agents, corporate filings, and general entity maintenance.
• Familiarity with compliance processes, insurance documentation, and regulatory obligations.
• Exceptional organization, follow-through, and attention to detail.

Nice-to-Haves

• International legal or cross-border transaction experience.
• Exposure to finance, trade, logistics, or B2B environments.
• Experience in a high-growth or entrepreneurial environment.
• Bilingual capabilities (Spanish preferred but not required).
