The Contract Manager is responsible for reviewing, drafting, and expertly negotiating third-party vendor contracts and procurement agreements, with a strong focus on Master Services Agreements (MSAs), Statements of Work (SOWs), service level agreements (SLAs), 3rd Party Information Security agreements, and Data Privacy agreements. This role ensures alignment with stakeholders’ expectations, supports organizational objectives, and maintains strict compliance with all legal, risk management, and relevant policies and standards.
Serving as a key liaison between internal teams and external vendors and service providers, the Contract Manager facilitates the entire contract life cycle. This includes leading negotiations, resolving disputes or unclear terms, managing risks, and ensuring stakeholder engagement throughout the contracting process.
Additionally, the Contract Manager serves as a strategic advisor to internal business owners, advocating for their procurement needs while aligning with overall organizational objectives and service requirements. The Contract Manager is responsible for organizing, maintaining, and meticulously tracking all procurement contract documentation to ensure data accuracy, compliance, and easy accessibility throughout the contract lifecycle.
The Contract Manager follows established contract management policies, procedures, and templates to efficiently and accurately manage procurement, vendor risk management, and compliance processes. They work with legal counsel during negotiations and contract reviews, especially for contracts involving sensitive data and security requirements, and ensure finalized contracts are distributed to relevant parties for compliance.
To succeed in this position, candidates must have expertise in legal terminology, contract conditions, procurement processes, and industry standards. An ideal candidate will possess strong analytical skills, keen attention to detail, and the ability to clearly explain contract issues to stakeholders and vendors.
Prior experience managing contracts for claims-related services is beneficial for this role.

Responsibilities
- Draft, review, and negotiate MSAs, SOWs, SLAs, Third-Party Information Security, and Data Privacy agreements to ensure contracts meet organizational requirements and protect company interests.
- Advise internal teams on contractual rights, responsibilities, and compliance standards.
- Collaborate with stakeholders to understand service requirements, resolve disputes, clarify contract terms, and manage expectations.
- Maintain and track contract documents for accuracy, regulatory compliance, and accessibility.
- Work with legal counsel during negotiations and contract reviews, especially for agreements involving sensitive data and security.
- Follow established contract management policies, procedures, and templates to effectively manage procurement, vendor management, and compliance processes.
- Experience in commercial contract management with MSAs, SOWs, SLAs, Third-Party Information Security, and Data Privacy and Processing.
- Strong stakeholder management and relationship-building skills.
- Proven negotiation skills and ability to resolve contract disputes, especially those involving security and privacy.
- Excellent organizational and multitasking skills with experience managing multiple contracts and competing priorities.
- Exceptional verbal and written communication skills, including the ability to explain contract matters clearly.
- Ability to adapt to changing requirements and stakeholder feedback, particularly regarding data privacy, security, and 3rd party risk management.
- Experience with contract management platforms and systems; familiarity with contract databases is a plus.
- Bachelor’s degree in business or a related field, or equivalent related work experience.
- 5 to 7 years of relevant experience in legal and/or contracts, specifically including commercial contract terms and procurement agreements
- Experience supporting claims-related vendor contracts is considered a plus
