Role Overview
This position is centered on private funds work, with an emphasis on sponsor-side representation. You will play a key role in structuring, forming, and operating private investment vehicles across strategies such as private equity, hedge funds, credit, venture capital, and hybrid funds.
Responsibilities
- Lead and support the formation of private investment funds, including drafting and negotiating offering documents (PPMs, LPAs, subscription agreements, side letters)
- Advise sponsors on fund structuring considerations, including economic terms, governance, and regulatory positioning
- Manage ongoing fund operations, including investor onboarding, transfers, and compliance matters
- Negotiate side letters with institutional investors and address bespoke investor requirements
- Coordinate closings and manage deal timelines across multiple stakeholders
- Work closely with tax, regulatory, and compliance specialists on fund-related issues
- Counsel clients on SEC, CFTC, and other regulatory requirements affecting private funds
- Assist with GP and management company structuring, including carried interest and compensation arrangements
- Provide strategic guidance to emerging managers and established sponsors alike
