Key Responsibilities
- Draft, review, and negotiate a variety of corporate and commercial agreements, including asset and stock purchase agreements, operating and shareholder agreements, service agreements, licensing agreements, and other general commercial contracts
- Advise clients on entity formation, governance, restructuring, and day-to-day corporate matters
- Support mergers, acquisitions, and other strategic transactions, including due diligence and closing activities
- Collaborate with partners and cross-functional teams to deliver practical, business-oriented legal solutions
- Maintain strong client relationships and provide timely, responsive counsel
- JD from an accredited law school
- Active license and in good standing in the applicable jurisdiction
- Minimum of 3 years of experience in corporate and/or commercial transactional matters
- Strong drafting, negotiation, and analytical skills
- Ability to manage multiple matters efficiently in a fast-paced environment
- Excellent written and verbal communication skills
