Senior Paralegal – Advanced Tax Strategies (ATS)

The Advanced Tax Strategies (ATS) Team is structured as a strong team-oriented environment built on a hybrid/virtual platform. The ATS Team provides innovative solutions for complex business, wealth transfer, and private client matters, often serving ultra-high-net-worth individuals, families, and closely held businesses. As a Senior Paralegal, you will play a key role in supporting attorneys on corporate structuring, governance, estate planning, and family office strategies. The role requires strong skills in preparing governance documents, coordinating estate planning documents, and managing multi-entity transactions, while also working in coordination with the firm’s Entity Compliance Specialist when additional capacity is required.

Key Results
Corporate Governance Support
- Prepare governance documents such as operating agreements, bylaws, shareholder agreements, resolutions, and consents to align with complex restructurings.
- Assist attorneys with closing checklists, tracking deliverables, and assembling post-closing binders.
- Support attorneys on sophisticated transactions through coordination, document review, and integration.
- Provide occasional backup support to the Entity Compliance Specialist on entity formation, EIN procurement, and compliance tasks as needed.
Wealth Transfer & Estate Planning
- Assist with preparation of trust instruments, powers of attorney, deeds, assignments, and ancillary estate planning documents.
- Coordinate trust funding and ownership transfers to align with planning strategies.
- Maintain organizational charts and asset schedules for family office and tiered entity structures.
- Support attorneys in implementing multi-generational wealth transfer strategies.
Client & Advisor Coordination
- Liaise with clients, family offices, CPAs, fiduciaries, and financial institutions.
- Coordinate execution of legal documents and ensure compliance with required formalities.
- Assist with materials for client meetings, governance sessions, and strategy discussions.
Research & Compliance (support role)
- Provide limited research on jurisdiction-specific issues or compliance questions as directed by attorneys.
- Help monitor changes in statutory or regulatory requirements that may affect client structures.
- Maintain accurate records within the firm’s document management systems.
Leadership & Mentorship
- Provide guidance to junior paralegals and legal assistants.
- Contribute to process improvements that strengthen team efficiency and client delivery.

Requirements & Experience
- Bachelor’s degree or paralegal certificate from an ABA-accredited program.
- 7 years of paralegal experience, with a strong background in corporate governance and estate planning/private client services.
- Demonstrated ability to prepare governance documents for multi-entity structures.
- Experience with estate planning documents and coordinating trust/asset transfers.
- Proficiency with Microsoft Office Suite and legal document management systems; experience with corporate management software (e.g., CSC, hCue) a plus.
- Exceptional organizational and communication skills.

Benefits and Compensation
The hourly range is $33.65 - $38.45 depending on experience.
