The Opportunity
GMTB Law is seeking an experienced Corporate Attorney to join our successful business law practice. This position offers the opportunity to serve a diverse client base of entrepreneurs, closely-held businesses, and established enterprises throughout Central Florida. You will work alongside experienced partners in a collegial environment with a strong existing client base.
Primary Responsibilities
• Advise clients on the formation, structure, and governance of business entities, including LLCs, corporations, and partnerships
• Counsel business owners through mergers, acquisitions, and sales of businesses, including due diligence, negotiation, and closing
• Draft and negotiate purchase and sale agreements, operating agreements, shareholder agreements, and related transaction documents
• Handle licensing matters, including commercial license agreements and regulatory compliance
• Advise business owners on employment matters, including employment agreements, non-compete and non-solicitation agreements, independent contractor arrangements, and workplace policy compliance
• Collaborate with firm attorneys on matters involving real estate, estate planning, and related transactional work
Qualifications
• J.D. from an accredited law school; active Florida Bar membership in good standing
• Minimum 3 years of experience in corporate, business, or transactional law
• Demonstrated experience in business entity formation and transactional matters
• Strong drafting and negotiating skills
• Ability to manage client relationships independently while collaborating with firm partners
• Experience with employment matters from the employer/owner perspective is a plus
• Brevard County or Central Florida ties strongly preferred, but not required
