Ferguson is currently hiring for a Senior Manager, M&A on our Acquisitions Team. This is an exciting role and opportunity to pursue! This role is approved for remote work with travel as needed. Responsibilities: Under supervision of VP of Business Development executes M&A transactions in support of overall Corporate Strategy Primarily Responsible for negotiation and execution of Acquisition transactions Leads negotiation of deal points – business, financial, legal Works in development of valuation modeling of potential acquisitions Manages and prioritizes an ongoing portfolio of active transactions Engages with Investment Banking and Private Equity communities to drive opportunity pipeline and manage deal processes. Analyzes possible mergers, acquisitions and divestitures, and makes recommendations as to their impact on the organization's profitability. Participates in due diligence activities related to an acquisition target's policies, practices and systems to help identify key risk areas. Partners with legal, human resources, accounting, IT, and various other internal departments and external 3rd party partners to execute M&A transactions. Prioritize and assign tasks to ensure that the team's resources are used effectively and that work schedules and targets are met. Works on a range of assignments related to deal flow and pipeline management. Assist in development and execution of business integration strategies. Develops Board papers and presentations related to proposed acquisitions. Performs project oriented duties related to the acquisition and integration of an acquired entity into the company. Participate in leadership meetings and represent associate concerns, policies and guidelines to the management team. Represent the organization to potential sellers, external partners, customers, associates and leadership as needed. Education/Experience: At least seven to ten years of targeted M&A transaction experience, including pipeline analysis and leading transaction teams to through negotiation and deal closing. Bachelor's degree required, CPA preferred Candidates should possess skills in valuation modeling, transaction structuring, negotiation. Experience in Investment Banking/private equity coupled with corporate experience leading M&A transactions. History of leading all phases of an acquisition process from early stage prospecting, pipeline management, valuation, negotiation, diligence and deal closing. Proven negotiator with experience in transactions of various types across the middle market Exceptional interpersonal and leadership skills. Ability to influence others within the framework of deal negotiations. Ability to work in a team environment. The estimated pay range for this position is below.
