Role Summary

As the Legal Operations Analyst, reporting to the General Counsel, you will support the company's legal, compliance, and corporate governance functions through a combination of paralegal expertise, legal operations administration, and process coordination. This role assists with the management of legal systems, contracts, corporate records, compliance activities, and legal department workflows to help ensure the efficient and accurate delivery of legal services.

Working closely with internal stakeholders and external partners, the Legal Operations Analyst maintains legal documentation, administers legal technology platforms, prepares reports and records, and supports process improvement initiatives. Through strong organizational, analytical, and problem-solving skills, the role helps enhance operational efficiency, transparency, and consistency across the Legal Department.

In This Role, You Will…

  • Provide day-to-day legal and administrative support to the Legal Department, General Counsel, executives, and Board of Directors while handling confidential and time-sensitive information with discretion.
  • Organize and maintain global contracts, corporate records, Board materials, and other legal documentation in physical and electronic systems, including ContractWorks and Athennian.
  • Serve as a resource to internal stakeholders on legal document-management processes and provide guidance and training on applicable systems and procedures.
  • Document and maintain Legal Department processes, procedures, and workflows to promote consistency, knowledge sharing, and operational efficiency.
  • Evaluate legal technologies, software, and process-improvement opportunities and provide information and analysis to support departmental recommendations.
  • Review, revise, draft, and proofread contracts, resolutions, minutes, proxies, and other legal and corporate documents.
  • Coordinate with global business leaders to gather information and prepare annual corporate records. Maintain minute books, stock ledgers, subsidiary records, and entity information within Athennian.
  • Obtain official documents, certifications, authentications, and apostilles from governmental authorities as needed.
  • Support litigation and class-action matters by maintaining legal documents, assisting with discovery requests and interrogatories, gathering relevant information, and attending court hearings when needed.
  • Help administer Fellowes’ patent, trademark, and copyright portfolio, including conducting preliminary trademark searches, maintaining docket information, and coordinating with business teams, external counsel, and renewal vendors.
  • Support corporate compliance programs and initiatives, including the Code of Conduct, Annual Affirmation, and applicable privacy requirements.
  • Maintain the legal billing system, process payments, prepare reports, support quarterly accruals and annual budgeting, and identify potential cost-saving and efficiency opportunities.
  • Assist with Board and annual shareholder meetings by preparing agendas and presentation materials, gathering shareholder information, supporting proxy preparation, recording share transfers, and coordinating share and dividend records with Finance.
  • Maintain a working understanding of trusts and other ownership structures relevant to major shareholders.
  • Provide administrative support for Fellowes’ equity-based incentive plans, including related recordkeeping and reporting.
  • Support acquisitions by coordinating due diligence materials, preparing ancillary documents, and assembling closing binders.

What You Bring To The Team

  • A bachelor’s degree and at least three years of relevant experience within a law firm or corporate legal department.
  • Experience in one or more of the following areas: legal operations, legal systems and processes, corporate governance, Board support, intellectual property administration, corporate law, or contracts.
  • Working knowledge of corporate governance practices, general contract law, legal compliance, intellectual property procedures, mergers and acquisitions, and litigation support.
  • Experience reviewing and interpreting contracts, agreements, and other legal documents.
  • The ability to draft, revise, and proofread legal and corporate documents accurately, including through the use of appropriate technology.
  • Strong written and verbal communication skills, including excellent grammar, spelling, editing, and proofreading abilities.
  • The judgment and discretion necessary to work with confidential information and provide support to the Chairman, executives, General Counsel, and business leaders.
  • Strong interpersonal skills and the ability to work effectively with diverse stakeholders across a global organization.
  • Critical-thinking and problem-solving skills, with the ability to analyze issues and identify practical solutions.
  • Strong organizational and time-management skills, with the ability to prioritize competing responsibilities and meet deadlines.
  • Advanced proficiency with Microsoft Word, Excel, PowerPoint, SharePoint, DocuSign, and Microsoft Copilot. Experience with ContractWorks, Athennian, or similar legal operations platforms is preferred.
  • Familiarity with global corporate structures, subsidiaries, and related recordkeeping requirements.
  • The ability to work independently while also contributing effectively as part of a collaborative team.
  • A current Notary Public commission or the ability to obtain one.

The hiring range for this position in Itascais$85,000 - $95,000 per year. The base pay actually offered will take into account internal equity and also may vary depending on the candidate’s geographic region, job-related knowledge, skills and experience, among other factors. An annual incentive may be provided as part of the compensation package, in addition to a full range of medical, financial and/or other benefits, dependent on the level and position offered.
