What are the responsibilities and job description for the Corporate Counsel position at Exceptional Healthcare Inc.?
We're building hospitals across five states, and we need a versatile business lawyer to keep the entire operation moving. Exceptional Healthcare runs 24/7 emergency and inpatient community hospitals across Arizona, New Mexico, Oklahoma, Texas, and South Dakota, with eight open and a ninth opening in South Dakota this fall. This is a broad, hands-on corporate seat for a lawyer who wants a range rather than a narrow lane.
You'll be the business's go-to counsel: governance, contracts, transactions, risk, litigation oversight, and the real estate and construction work behind every new hospital. Direct access to leadership and real influence over how we grow.
What you'll own:
- Broad-based corporate and business legal support to executive leadership and operations
- Corporate governance, entity structuring, board support, and policy development
- Business-relevant contracts and commercial transactions across the company
- Real estate and construction: land acquisition, leases, development, and construction agreements for new hospitals
- Risk management and litigation oversight, directing outside counsel
- Vendor, service, and operational agreements that keep the hospitals running
- Coordination with outside counsel on specialized healthcare regulatory matters
What you bring:
- J.D. from an accredited law school
- Active license in good standing in any U.S. jurisdiction (Texas bar or eligibility to waive in a plus)
- 5 years of broad-based corporate and business legal experience
- Strength in corporate governance, commercial contracts, and business transactions
- Real estate or construction experience a plus
- Healthcare industry exposure welcome but not required
- Comfort in a fast-moving, multi-state operating environment with executive visibility
