Our client, an AmLaw firm with a thriving Colorado office, is seeking a Senior Corporate Paralegal who enjoys complex corporate work and wants to continue building an exceptional career. This isn't a position where you'll spend years doing the same tasks on repeat. Every transaction brings new challenges, new clients, and new opportunities to expand your expertise.
You'll play a significant role in private equity transactions, capital markets matters, mergers and acquisitions, and general corporate representation for both private and public companies.
What You'll Do
- Form, maintain, and dissolve business entities
- Prepare organizational documents and corporate records
- Coordinate complex closings from start to finish
- Draft and file corporate and securities documents
- Prepare legal opinions and supporting documentation
- Conduct due diligence reviews
- Maintain capitalization tables, stock records, and equity documentation
- Research Blue Sky issues and prepare related filings
- Mentor junior paralegals and case assistants
What Brings Success
- Bachelor's degree
- 5 years of corporate transactional experience, ideally involving Private Equity, M&A, or Capital Markets
- Previous law firm experience
- Experience with Excel, Carta, ShareWorks, or similar equity management platforms is a plus
