EpsteinSchwartz has an exciting new in-house opportunity. Our client, an established professional services firm serving two families and their business enterprises is hiring an In-House Counsel with 3-5 years of commercial transactions, corporate contracts, real estate and employment-related experience. This attorney will negotiate, draft and review a variety of agreements and will report directly to the General Counsel while collaborating closely with a tight-knit legal group as well as internal business teams and external partners.
In-House Counsel Responsibilities:
- Negotiate, draft, and review commercial agreements including corporate and partnership governing documents, purchase and sale agreements, vendor and other commercial contracts, confidentiality agreements and NDAs, employment-related agreements, and trust documents and related agreements;
- Support estate planning initiatives, including trust structures and generational wealth planning;
- Assist with KYC (know-your-client) and regulatory AML (anti-money laundering) disclosures of confidential information;
- Assist with residential real estate matters;
- Ensure regulatory compliance and assist in the development and refinement of operating procedures for two private trust companies;
- Assist with preparation and review of quarterly Board and Committee meeting books and periodic reporting;
- Support special projects and provide practical, business-oriented legal advice; and
- Coordinate and assist outside counsel and advisors.
In-House Counsel Qualifications:
- 3-5 years of broad corporate/transactional and corporate governance experience gained through a law firm or in-house practice. Some experience in employment law and real estate is a plus;
- Understanding of basic corporate and partnership income taxation as well as general accounting and tax concepts preferred;
- Strong analytical and organizational capabilities and attention to detail;
- Proven track record in managing multiple projects, strong problem-solving skills and solution-focused perspective;
- Ability to operate in a highly confidential and complex environment as part of a team, but also independently, and across multi-disciplinary work groups;
- Highly proactive approach to serving clients and a fiduciary mindset;
- Excellent verbal and written communication skills; and
- J.D. from a leading law school, with proven academic success.
Salary : $175,000 - $200,000
