What are the responsibilities and job description for the Legal Counsel, US Corporate & Outsourcing position at Enstar Group?
About you and the role:
To provide high‑quality corporate legal, regulatory, and governance support on a timely basis to the Head of US Corporate Legal and other attorneys on the US Corporate Legal team.
This dynamic role will support several critical areas, including procurement and commercial contracting, insurance services, and corporate governance matters. The position is expected to exercise sound professional judgment, serve an integral role on assigned workstreams with appropriate supervision, and contribute to the continuous improvement of the legal processes for the US Corporate Legal team.
What you will be doing:
Key Accountabilities / Deliverables
Procurement and Commercial Contracting Matters
- Work closely with the AVP, Legal Counsel, US Corporate & Outsourcing on commercial contracting workstreams for Enstar Group throughout the procurement contract life cycle, including intake, negotiation, execution, contract management, renewals, and terminations.
- Prepare issues lists to identify legal and commercial risks in supplier arrangements for the supervising attorney.
- Review, draft and negotiate commercial contracts, including master services agreements (MSA), software licenses, statements of work, work orders, amendments, renewal and termination notices, non-disclosure agreements, and related documents.
- Advise the Procurement and Information Technology teams, and where applicable, Business Unit owners, on legal issues, and where appropriate, consult with cross-functional teams on matters pertaining to third-party outsourcing, data protection and privacy, information security, tax, risk management, internal audit, and corporate compliance related to supplier, outsourcing, and other third-party engagements.
- Prepare concise legal memoranda memorializing positions arising from compliance, contract remediation, and operational resilience reviews.
- Maintain and update legal operational documentation and guidance materials, including procurement workflow guidance, RACI documentation, business empowerment guides, MSA and other contract playbooks, and regulatory notification tables/checklists.
- Support various aspects of third-party risk management reviews in compliance with applicable laws and regulations, including outsourcing, data protection, privacy, and cybersecurity.
Insurance Services
- Support the VP, Legal Counsel, Regulatory, and Corporate, in providing legal advice to key internal clients, including TPA Management, Commutations, Ceded Reinsurance, Managed Care Services, and Finance.
- Prepare, review, and negotiate corporate and insurance services related commercial contracts, including claims services agreements, program administration agreements, reinsurance agreements, and commutation agreements.
- Assist with the preparation of high-quality corporate and insurance regulatory applications and filings (e.g., Insurance Holding Company System).
- Contribute to the management of Enstar’s US and global trademarks and related IP.
Corporate Governance
- Support the AVP, Legal Counsel US, on corporate governance matters for the US region.
- Prepare Board meeting materials, including compiling and publishing board materials for subsidiary board meetings.
- Assist with minute-taking and follow-up action items tracking for subsidiary board meetings and preparing updating board resolutions and governance-related documentation.
- Assist with annual governance maintenance activities, including director and officer updates, documents and entity management requirements.
- Maintain corporate governance records on the Diligent Boards system.
- Provide general corporate governance support across recurring projects and compliance-related initiatives.
Process Improvement & Reporting Responsibilities
- Enhance contract templates and forms.
- Contribute to the preparation of weekly and monthly status reports and workflow trackers.
- Support Legal Operations and technology initiatives, including proposing automation or efficiency improvements (e.g., GenAI legal use cases).
- Share knowledge, informally and contribute to the US Corporate Legal’s team capabilities.
- In addition to the above responsibilities, this role will also assist the Head of US Corporate Legal and team members on other legal projects and assignments as requested from time to time.
What you will bring:
- Qualified lawyer, admitted in a relevant jurisdiction, with strong academic credentials preferred
- 1-3 years’ experience at a law firm or in-house (corporate focused)
- Strong interest in corporate contract drafting and negotiating
- Experience in insurance or financial services is preferred
- Foundational knowledge of:
- Corporate legal, regulatory, and governance principles
- Contract clauses and drafting, such as indemnification, confidentiality, representations and warranties, covenants and licensing
- Awareness of:
- Contract lifecycle management
- Data protection, privacy, and information security laws and regulations
- AI governance and legal technology
- Corporate policies, procedures, and best practices
- Understanding the needs of internal stakeholders
- Strong legal research capabilities
- Excellent verbal and written communication skills.
- Experience handling multiple tasks/projects simultaneously
- Proficiency with Microsoft Office applications

General Info
The target base salary pay range for this role is $110-$140,000*
*Target full-time equivalent base salary range is based on relevant market data. The actual salary offered will depend on applicable market data for the hiring location and the relevant candidate's knowledge, skills/experience. This salary range is not inclusive of applicable discretionary incentives.
