Job Summary
The Senior Legal Counsel will provide broad legal support across a range of commercial, development, regulatory, and corporate matters. This role partners closely with internal teams advising on contracts, compliance, risk management, corporate governance, and general business operations. The position requires strong judgment, the ability to manage multiple priorities, and comfort operating in a fast‑paced, cross‑functional environment.
Key Responsibilities
- Provide legal advice across a wide range of commercial, development and operational matters.
- Support financing, M&A, joint ventures, and other strategic transactions as needed.
- Draft, negotiate, and manage a variety of agreements, which may include commercial contracts, vendor agreements, service agreements, confidentiality agreements, procurement documents, and project‑related contracts.
- Support regulatory and compliance matters, including permitting, environmental considerations, and interactions with federal, state, and local agencies.
- Advise on corporate governance, internal policies, and compliance frameworks.
- Assist with risk identification and mitigation strategies across business activities.
- Conduct legal research and provide practical, business‑oriented guidance to internal stakeholders.
- Collaborate with teams across development, operations, finance, regulatory, and executive leadership.
- Manage outside counsel, including scoping, budgeting, and oversight of external legal work.
- Maintain organized legal documentation and ensure compliance with internal governance requirements.
- Support additional legal matters and cross‑functional projects as assigned by senior leadership or the General Counsel.
Required Background & Experience
- 8- 10 years of professional legal experience spanning commercial, corporate, regulatory, or transactional matters.
- Juris Doctor (JD) from an accredited law school.
- Familiarity with energy, infrastructure, or project‑oriented industries is helpful, though not essential.
- Strong contract drafting and negotiation skills across commercial, vendor, procurement, and project‑related agreements.
- Exposure to financing, M&A, joint ventures, or other strategic transactions.
- Ability to support corporate governance, compliance programs, and risk mitigation.
- Proficiency in legal research and ability to deliver practical, business‑focused guidance.
- Strong judgment, integrity, and ability to manage confidential information.
- Effective collaboration with cross‑functional teams and experience managing outside counsel.
- Excellent organizational skills with the ability to manage multiple priorities and maintain accurate legal records.
- Demonstrated initiative, adaptability, and a team‑oriented approach.

Salary : $200,000 - $230,000
