Job Summary:
The Investor Relations Concierge is responsible for ensuring the company is appropriately and strategically positioned with analysts, investors, and all stakeholders.
Primary Duties and Responsibilities:
The duties listed below are some of the duties that may be assigned and may not include all responsibilities that the person in this role may be asked to perform. - Assists Executive Management in preparing Private Placement Memorandum, exhibits and subscription documents.
- Assists Executive Management with day-to-day needs during capital raise including scheduling and coordinating meetings, meeting locations, catering, travel, etc.
- Maintains spreadsheet with investment commitments; sends frequent updates to deal team.
- Works with Marketing Director to maintain and update shareholder pitch deck.
- Sends materials (e.g., investor pitch deck, online investment pitch video, subscription documents, etc.) to potential shareholders in advance of meetings and follow-up materials.
- Assists committed shareholders in completing and submitting subscription documents.
- Maintains shareholder list; responds to valid shareholder list requests from interested parties (e.g., regulators, FOIA requests, etc.)
- Owns the relationship with our equity management software system (Carta).
- Primary contact for shareholder questions that come into the investor relations mailbox.
- Works with Chief Accounting Officer on monthly employee stock vestings.
- Updates share price on applicable websites as needed.
- Assists with third-party transaction platform (BancList) relationship.
- Coordinates and documents all secondary share transfer transactions via BancList or direct transactions.
- Develops formal shareholder onboarding program to include investment confirmation, Carta registration, investor welcome kit, Concierge Banker assignments, new accounts for shareholders, etc.
- Leads shareholder loan and deposit account transition process in coordination with assigned Concierge Banker.
- Assists Marketing Director with shareholder communication pieces and distribution of investor communications.
- Assists Marketing Director with media requests related to capital raise activities and preparation of relevant company-issued press releases.
- Develops and maintains Investor Relations section of Encore Bank website.
- Assists General Counsel in preparing annual meeting notice and proxy materials.
- Organizes and coordinates annual shareholder meeting.

Qualifications
Skills and Qualifications:
- Bachelor’s degree (preferably in Business or Communications)
- At least 3 years previous experience as an Executive Assistant, Office Manager, Client Relations, and 2 yeast experience with Investor Relations or Stock Administration.
- Excellent interpersonal skills including oral and written communications.
- Proficient in use of Microsoft Office suite of tools.
- Must be self-directed and capable of working with little supervision, having the demeanor and ability to safeguard highly confidential information
- Excellent verbal and written communication skills
- Experience in Microsoft Office
- Strong Integrity and Accountability
- Ability to handle pressure
- Ability to Organize and Prioritize in an environment that requires multi-tasking
- Strong understanding of SEC laws and securities disclosure requirements, as well as filing requirements
- Deep knowledge and understanding of the capital markets, as well as a thorough understanding of key metrics for companies in the industry
- Intimately familiar with financial modeling techniques and valuation methods used by analysts and investors
- A strong understanding of macroeconomics, capital markets trends, competitor activities, industry dynamics, and customer trends
- A professional who is also entrepreneurial, and has a client-minded focus
Education Required for this Job:
- A Bachelor’s degree in business, finance, or accounting
- An MBA or FMVA certification is preferred
Attendance Requirements:
- Daily attendance is required during normal business working hours
- In-person and/or hybrid attendance occasionally required for company, client and/or team meetings
Position Type/Expected Hours of Work:
- This is a full-time position. Days and hours of work are Monday through Friday, 8:00 a.m. to 5 p.m. Occasional evening and weekend work may be required as job duties demand.
Travel:
- Travel is primarily local during the business day, although some out of area and overnight travel may be expected
