Corporate Paralegal – Job Duties & Responsibilities
Intellectual Property (IP) Management
- Assist with preparation, filing, and maintenance of trademarks, copyrights, and patents (domestic and international).
- Coordinate with outside IP counsel on filings, renewals, oppositions, office actions, and portfolio strategy.
- Maintain and update IP docketing systems and ensure timely renewals and deadlines.
- Conduct preliminary trademark clearance searches and summarize findings.
- Monitor potential IP infringements and assist with enforcement documentation.
- Maintain records of licensing agreements and IP assignments.
- Prepare and file UCC financing statements related to IP collateral, when applicable.
Contract Management & Corporate Governance
- Draft, review, revise, and track a wide range of contracts, including:
- NDAs
- Vendor agreements
- Service agreements
- Licensing agreements
- Customer agreements
- Manage contract lifecycle using contract management systems.
- Ensure contracts comply with company policies and regulatory requirements.
- Maintain organized contract repositories and track key dates (renewals, terminations, milestones).
- Board resolutions
- Meeting minutes
- Corporate filings
- Entity formations and registrations
Litigation Support, Discovery & Case Management
- Assist attorneys with case management in litigation, arbitration, or regulatory matters.
- Coordinate document collection, review, and production for discovery.
- Manage e-discovery platforms and ensure compliance with discovery deadlines.
- Draft and respond to discovery requests (interrogatories, requests for production, subpoenas).
- Conduct legal research on case law, statutes, regulations, and procedural rules.
- Maintain litigation calendars and track court deadlines.
- Prepare exhibits, witness files, and trial binders
- Conduct legal research and prepare memoranda summarizing findings.
- Monitor regulatory developments affecting corporate operations.
- Assist with compliance programs, policies, and training materials.
- Support internal investigations and fact-gathering efforts.
- Maintain knowledge of relevant federal, state, and international regulations.
Risk Management & Administrative Support
- Assist in risk assessments and mitigation strategies.
- Coordinate insurance claims and related documentation.
- Maintain confidentiality of sensitive corporate and legal information.
- Liaise with internal departments (Finance, HR, Operations) on legal matters.
- Manage outside counsel billing and maintain legal department budgets.
- Provide general administrative support to the Legal Department as needed.
