Responsibilities
- Lead financial due diligence, including analysis of historical financials, quality of earnings, working capital, debt-like items, and cash flow sustainability.
- Support valuation modeling, deal structuring, purchase price allocation inputs, and scenario analysis.
- Partner with Corporate Development and external advisors throughout the transaction lifecycle.
- Assess financial risks, synergies, and value creation opportunities associated with transactions.
- Support negotiation of financial terms in purchase agreements, including earn-outs and working capital adjustments.
- Prepare executive-level materials, including investment memos, financial models, and board presentations.
- Lead financial integration planning and execution for acquired entities, aligning with enterprise processes, controls, and systems.
- Partner with Accounting to integrate acquisitions into financial reporting, close processes, internal controls, and ERP systems.
- Collaborate with FP&A to incorporate acquisitions into budgets, forecasts, and long-range plans.
- Own development and tracking of integration financial milestones, synergies, and cost-to-achieve.
- Monitor post-close financial performance against deal assumptions and communicate variances to leadership.
- Support change management efforts across HR, IT, Operations, and business teams during integrations.
- Act as a finance advisor to business leaders during transformation and growth initiatives.
- Enhance M&A and integration playbooks, templates, and processes to improve scalability and execution efficiency.
- Identify opportunities to standardize financial processes and optimize performance across acquired businesses.
- Ensure compliance with accounting standards, internal controls, and company policies throughout transactions and integrations.
- Demonstrated experience in M&A financial due diligence, valuation, and post-close integration execution.
- Advanced financial modeling and analytical capabilities.
- Strong cross-functional leadership with the ability to partner across Corporate Development, FP&A, Accounting, Legal, HR, and IT.
- Experience preparing executive-level presentations and materials.
- Familiarity with purchase agreements and key financial terms (e.g., earn-outs, working capital adjustments).
- Experience with ERP systems and financial reporting integration.
- Proven ability to track synergies, integration milestones, and post-close performance.
