V5 Law Firm - Capital Markets Associate - NY

Eden Rose is working with a V5 law firm’s Capital Markets practice in NYC is seeking an outstanding mid-level associate with experience in capital markets and securities transactions.

This role offers the opportunity to work on sophisticated, high-profile matters across a broad range of equity and debt offerings, as well as general corporate and securities advisory work.

Key Responsibilities

• Advise clients on a full spectrum of capital markets transactions, including:
• Initial public offerings (IPOs)
• Follow-on equity offerings and block trades
• Investment grade and high-yield debt offerings
• Convertible debt transactions
• Private placements and equity investments
• Structure and execute complex and non-traditional transactions, including:
• Tender and exchange offers
• Consent solicitations
• Rights offerings
• Spin-offs, recapitalizations, and restructurings
• Provide guidance on ongoing public company obligations, including disclosure requirements and corporate governance matters
• Collaborate with clients such as public and private companies, investment banks, private equity firms, and REITs

Qualifications

• J.D. from a top-tier law school and strong academic credentials
• 2–5 years of relevant experience in capital markets and securities transactions
• Admitted to practice law in NYC (or eligible to waive in)
• Excellent analytical, drafting, and communication skills
