About the Role
At The Heart Institute of Venice We are seeking an experienced and highly skilled Corporate Lawyer to join our organization in a remote capacity. The ideal candidate will have a strong background in U.S. corporate law, exceptional analytical skills, and the ability to provide strategic legal guidance on a wide range of business matters. This role requires excellent communication, professionalism, and the ability to work independently while supporting leadership teams across various departments.
Key Responsibilities
- Provide legal counsel on corporate governance, compliance, and regulatory matters.
- Draft, review, and negotiate a wide range of commercial contracts and agreements.
- Assist in the development and implementation of company policies and procedures.
- Support mergers, acquisitions, joint ventures, and other corporate transactions.
- Conduct legal research and prepare opinions related to business operations.
- Ensure the organization is compliant with federal, state, and local regulations.
- Work cross-functionally with executive, finance, HR, and operations teams.
- Advise on risk management and help mitigate legal exposure.
- Represent the company in legal proceedings when necessary.
Qualifications
- Juris Doctor (JD) degree from an accredited U.S. law school.
- Active license to practice law in at least one U.S. state (in good standing).
- Minimum of 3–5 years of experience in corporate or commercial law; in-house experience is a plus.
- Strong understanding of U.S. corporate governance, contract law, and regulatory frameworks.
- Exceptional drafting, negotiation, and problem-solving skills.
- Ability to manage multiple projects independently in a remote environment.
- Excellent written and verbal communication skills.
- High level of professionalism, integrity, and confidentiality.
