What are the responsibilities and job description for the M&A (Private Equity) Senior Associate or Of Counsel (#926) - Dallas position at Dorsey & Whitney LLP?
Dorsey & Whitney LLP is seeking a Senior Associate or Of Counsel with private equity experience to join the Dallas office.
The ideal candidate for this position will have at least five years of experience advising private equity firms and their portfolio companies in a variety of complex transactions, including equity investments, co-investments, investment management, and other general corporate matters. Experience in drafting and negotiating limited liability company, limited partnership, shareholder and investor rights agreements and other ancillary transaction documents, and otherwise meeting the day-to-day requirements of private equity fund and portfolio company clients is expected. The ideal candidate will also have experience with management equity arrangements, including incentive equity terms. Familiarity with private equity fund documentation and structures and mergers and acquisitions is a plus.

The Following Qualifications Are Required
- A JD degree from an ABA-accredited law school with top academic credentials.
- At least five years of experience advising private equity firms and their portfolio companies in a variety of complex transactions.
- Texas bar admission or the ability to become admitted in Texas.
- Strong communication and writing skills.
