The Division of Corporation Finance is seeking an Attorney Adviser (Structured Finance Attorney). As an Structured Finance Attorney you serve as a legal advisor responsible for a range of assignments in the Office of Structured Finance (OSF). OSF ensures compliance with securitization requirements under Regulation AB, Regulation RR, and relevant rules from the Securities Act of 1933, Securities Exchange Act of 1934, and the Dodd-Frank Act.
Qualifying experience may be obtained in the private or public sector. Experience refers to paid and unpaid experience, including volunteer work done through National Service programs (e.g., Peace Corps, AmeriCorps) and other organizations (e.g., professional, philanthropic, religious, spiritual, community, student, social). Volunteer work helps build critical competencies, knowledge, and skills and can provide valuable training and experience that translates directly to paid employment. You will receive credit for all qualifying experience, including volunteer experience. Qualifying education must have been obtained from an accredited college or university recognized by the U.S. Department of Education. - Active membership of the bar in good standing in any state, territory of the United States, the District of Columbia, or the commonwealth of Puerto Rico. (Note: proof of bar membership will be required before entry on duty.

Responsibilities:
In this role as a Structured Finance Attorney, you will be responsible for:- Conducting reviews of filings of asset-backed securities issuers to monitor compliance with offering, disclosure, and reporting requirements and identifying and assessing risks, issues, and trends related to securitization.
- Performing extensive and complex research and reviews of statutes, rules, and regulations related to asset-backed securities and rendering legal advice and assistance to other members of the Commission staff on a range of topics under the federal securities laws.
- Serving as a subject matter expert on the securitization market and federal securities laws that apply to structured finance products such as mortgage-backed securities and collateralized loan obligations, including by providing interpretive guidance to practitioners and other members of the public.
- Participating in the development of new or revised policies, rules, and programs relating to asset -backed securities under the Acts administered by the Division.
- Analyzing policy issues that arise as a result of market monitoring, rule proposals, or other Commission objectives.
- Establishing and maintaining effective working relationships and communication with Commission staff at all levels, representatives from Congressional offices, representatives from other governmental agencies, and market participants.
