Direct Counsel is seeking a Structured & Specialty Finance Associate to join a premier finance practice in New York. This is an exceptional opportunity for an attorney with sophisticated financing experience who is looking to work on complex structured finance, asset-based lending, and specialty finance transactions for leading financial institutions, lenders, borrowers, and investment funds.
The ideal candidate will have experience with structured finance and secured lending transactions, strong drafting skills, and an interest in working on innovative financing structures across a variety of asset classes.
Responsibilities
- Advise lenders, borrowers, financial institutions, and investment funds on sophisticated financing transactions
- Structure, negotiate, and document:
- Structured finance transactions
- Asset-based lending facilities
- Receivables financings
- Specialty finance transactions
- Secured balance sheet financings
- Draft and negotiate:
- Credit agreements
- Security agreements
- Pledge agreements
- Collateral documents
- Financing amendments and ancillary agreements
- Assist with bond and capital markets-related financing transactions, including:
- Indentures
- Note purchase agreements
- Disclosure documents
- Conduct financing due diligence and manage transaction execution
- Analyze collateral structures, risk allocation, and financing terms
- Coordinate transactions from structuring through closing
Qualifications
- J.D. from an accredited law school
- Law school graduation years 2018–2022
- Finance experience at a sophisticated law firm
- Experience in one or more of the following areas:
- Receivables finance
- Asset-based lending
- Structured finance
- Specialty finance
- Secured lending transactions
- Strong drafting and negotiation skills
- Experience representing borrowers, lenders, or both
- Excellent analytical, organizational, and communication abilities
- Ability to manage complex transactions and client relationships
- Outstanding academic credentials
Preferred Experience
- Esoteric asset classes
- Structured credit products
- Bond financing transactions
- Capital markets-related finance transactions
- Securitization or specialty asset financing structures
Compensation & Benefits
- Salary range: $260,000 – $420,000
