Direct Counsel is seeking a Mid-Level Structured Finance Associate to join the Finance practice of a leading Am Law firm in New York. This role is ideal for an attorney with experience in structured finance and securitization transactions, particularly within the residential mortgage finance and consumer finance sectors.
The position offers the opportunity to work on sophisticated financing transactions involving complex asset-backed structures and collaborate with experienced attorneys on high-value deals in the structured finance market.
Responsibilities

Advise clients on structured finance and securitization transactions, particularly involving residential mortgage finance and consumer finance assets

Assist with structuring, negotiating, and documenting complex financing and asset-backed transactions

Draft and review transaction documents, including purchase agreements, servicing agreements, offering materials, and related financing documentation

Conduct legal due diligence and transaction analysis for structured finance deals

Work with financial institutions, sponsors, and internal deal teams to facilitate successful transaction execution

Support senior attorneys in managing deals from structuring through closing

Work across a variety of asset classes and financing structures
Qualifications

3–6 years of structured finance experience at a law firm

Experience in structured finance, securitization, lending, or similar finance transactions

Experience working on matters involving residential mortgage finance or consumer finance assets

Strong transactional drafting and deal management skills

Ability to manage multiple transactions in a fast-paced transactional environment

Excellent analytical, organizational, and communication skills

J.D. from an accredited law school with strong academic credentials

Active admission to the New York Bar
Compensation & Benefits
This position offers a competitive compensation package with a salary range of approximately $260,000–$390,000, depending on experience and qualifications.
