Mergers & Acquisitions Associate - New York

Direct Counsel is seeking a mid-level Mergers & Acquisitions Associate (3 years) to join a nationally recognized Corporate practice. This is an outstanding opportunity to work on sophisticated middle-market M&A and private equity transactions while gaining significant responsibility and client exposure.

Key Responsibilities:

• Draft and negotiate definitive and ancillary transaction documents for mergers, acquisitions, and joint ventures

• Manage due diligence processes and coordinate transaction execution

• Advise private companies, private equity sponsors, and portfolio companies on corporate matters

• Support financings, entity formation, governance, and commercial agreements

• Collaborate closely with partners and clients throughout all phases of transactions

Qualifications:

• 3 years of M&A and corporate transactional experience at a law firm

• Experience with private equity–sponsored and middle-market transactions preferred

• Strong drafting, negotiation, analytical, and communication skills

• Ability to manage multiple matters in a fast-paced environment

• JD and active bar admission in the applicable jurisdiction

Compensation & Benefits:

• Salary range: $260,000 – $420,000, depending on experience

• Discretionary performance-based bonus eligibility
