Overview:
This is an exciting opportunity for a mid-level corporate associate to join a growing M&A practice within a leading international law firm. The role offers significant responsibility on sophisticated transactions involving both public and private companies, with direct exposure to drafting and negotiating principal acquisition agreements.
Position Overview:
The ideal candidate will have 2–5 years of corporate transactional experience, including substantial M&A work within a large law firm environment. Candidates should be comfortable managing core transaction components, coordinating deal processes, and working directly with clients and senior attorneys on complex domestic and cross-border matters.
Key Responsibilities:
- Represent public and private companies in mergers, acquisitions, and other strategic corporate transactions
- Draft and negotiate acquisition agreements and related transaction documents
- Manage due diligence processes and transaction execution from inception through closing
- Conduct legal research and prepare corporate memoranda, agreements, and correspondence
- Participate in negotiations, client meetings, and strategic transaction planning
- Collaborate with cross-functional legal teams and business professionals on complex matters
- Maintain compliance with applicable corporate and transactional regulations
Qualifications:
- 2–5 years of corporate/M&A experience from a leading law firm
- Strong experience drafting and negotiating principal acquisition agreements preferred
- Excellent analytical, organizational, and communication skills
- Strong business judgment and attention to detail
- Ability to manage multiple transactions in a fast-paced environment
- JD from an accredited law school with strong academic credentials
- Active membership in good standing with the Pennsylvania Bar required
Compensation:
Expected salary range: $235,000 – $365,000, commensurate with experience and qualifications
