About the Opportunity
Direct Counsel is seeking an experienced IP & Technology Contracts Attorney to join the Office of the General Counsel of a leading international law firm in New York. This role will focus on reviewing, drafting, and negotiating technology and commercial agreements with vendors and third parties, as well as contracts related to client matters, including expert and consulting services. The ideal candidate will have strong experience with intellectual property, technology transactions, and commercial contracts, including SaaS, software licensing, and cloud agreements.

Responsibilities

• Review, draft, and negotiate a broad range of vendor, technology, and commercial agreements.

• Negotiate software, SaaS, cloud, AI platform licensing, data, and research tool agreements.

• Review consulting, independent contractor, confidentiality, marketing, publishing, and strategic partnership agreements.

• Review and negotiate expert and consulting service agreements for client matters.

• Advise on intellectual property, data privacy, cybersecurity, indemnification, limitation of liability, and service-level provisions.

• Collaborate with attorneys, business teams, and other stakeholders to address contractual risks and negotiation issues.

• Help develop contract review processes, management procedures, and standardized negotiation playbooks.

• Conduct legal research on emerging AI and technology issues and monitor relevant regulatory developments.

• Maintain accurate records of contract negotiations and agreed-upon terms.

Qualifications

• At least 5 years of relevant legal experience in intellectual property, technology, or commercial contracts.

• Experience reviewing and negotiating complex licensing, subscription, SaaS, and technology agreements.

• Knowledge of data privacy, cybersecurity, AI-related contractual issues, intellectual property, and commercial risk allocation.

• Strong research, analytical, writing, interpersonal, and presentation skills.

• High academic achievement from an accredited law school.

• Admission to the New York Bar.

Compensation & Benefits

• Base salary range of $160,000–$220,000, depending on experience and qualifications.
