Intellectual Property & Technology Associate Attorney (Mid-Level to Senior or Counsel)

Direct Counsel is seeking an IP & Technology Associate or Counsel to join a sophisticated Intellectual Property & Technology practice in Los Angeles. This is an exceptional opportunity for an attorney who enjoys serving as a strategic business advisor on cutting-edge technology, privacy, cybersecurity, artificial intelligence, and commercial transaction matters.

The ideal candidate will have substantial experience advising clients on privacy and data security compliance, technology transactions, intellectual property commercialization, and emerging technologies. Candidates with a modest portable practice are encouraged to apply, though a book of business is not required.

Responsibilities

Technology Transactions

• Draft, review, and negotiate a broad range of commercial and technology agreements, including:
  • Software licensing agreements
  • SaaS agreements
  • Master Services Agreements (MSAs)
  • Technology development agreements
  • Technology services agreements
  • Data processing agreements
  • AI data licensing agreements
  • Terms of Use and Privacy Policies
  • Other technology-driven commercial contracts
• Advise clients on intellectual property ownership, licensing, and commercialization strategies
• Support technology-related aspects of corporate transactions and strategic business initiatives

Privacy & Data Security

• Counsel clients on compliance with privacy and data protection laws, including:
  • California Consumer Privacy Act (CCPA)
  • General Data Protection Regulation (GDPR)
  • Other domestic and international privacy frameworks
• Advise on privacy compliance programs, data governance, and cybersecurity risk management
• Counsel clients regarding website, marketing, and data collection practices
• Assist clients in navigating privacy-related disputes and claims, including matters involving CIPA and related statutes

Artificial Intelligence & Emerging Technologies

• Advise clients regarding legal and business issues involving:
  • Artificial Intelligence (AI)
  • Generative AI tools
  • Digital assets
  • Emerging technology platforms
• Analyze evolving legal and regulatory developments affecting technology companies
• Develop practical compliance and risk management strategies for rapidly evolving technologies

Client Counseling & Business Advisory

• Serve as a trusted advisor to clients ranging from emerging growth companies to established brands
• Communicate complex legal concepts in a practical, business-oriented manner
• Participate in client development, networking, and business generation initiatives
• Collaborate closely with attorneys across intellectual property, corporate, entertainment, privacy, and litigation practices

Qualifications

• J.D. from an accredited law school
• Active California Bar membership or eligibility to practice in California
• Mid-level, senior associate, or counsel-level experience
• Significant experience advising clients on:
  • Privacy and data security matters
  • Technology transactions
  • Intellectual property licensing and commercialization
  • Emerging technology issues
• Experience drafting and negotiating complex commercial agreements
• Familiarity with:
  • AI and generative AI legal issues
  • Digital assets
  • Privacy and cybersecurity regulations
  • Technology-focused business transactions
• Strong legal writing, analytical, and communication skills
• Business-oriented approach to client service
• Ability to manage sophisticated matters independently

Preferred Experience

• CCPA and GDPR compliance counseling
• CIPA and privacy litigation risk counseling
• SaaS and software licensing transactions
• Technology development and data licensing agreements
• Experience serving technology, software, media, entertainment, and consumer products companies
• Portable business or demonstrated business development interest

Compensation & Benefits

• Salary range: $265,000 – $320,000
