Direct Counsel is seeking a Corporate Transactions, Capital Markets & M&A Senior Associate Attorney to join a highly regarded Am Law 100 firm in Atlanta, Georgia or Chicago, Illinois.
This is an outstanding opportunity for an attorney with 4–6 years of corporate transactional experience to join a nationally recognized practice representing public and private companies, private equity sponsors, and strategic investors in sophisticated mergers and acquisitions, capital markets transactions, and other complex corporate matters.
Key Responsibilities

Represent clients in mergers, acquisitions, divestitures, and other strategic corporate transactions.

Advise public and private companies on capital markets transactions and general corporate matters.

Draft, review, and negotiate purchase agreements, transaction documents, and ancillary agreements.

Conduct legal due diligence and manage transactions from initial structuring through closing.

Advise clients on corporate governance, transaction structuring, and risk management.

Collaborate with multidisciplinary legal teams to deliver comprehensive solutions for complex corporate transactions.
Qualifications

J.D. from an accredited law school with excellent academic credentials.

Active Bar membership in good standing.

4–6 years of corporate transactional experience at a law firm.

Significant mergers and acquisitions (M&A) experience is required.

Experience with capital markets transactions is preferred.

Strong drafting, negotiation, analytical, and project management skills.

Excellent written, verbal, and interpersonal communication abilities.

Ability to manage multiple sophisticated transactions in a collaborative, fast-paced environment.
