Responsibilities
- Advise issuers, private equity sponsors, portfolio companies, and underwriters in securities offerings and capital markets transactions
- Draft and negotiate offering documents, registration statements, disclosure documents, and transaction agreements
- Support public and private debt and equity offerings, including IPOs, follow-on offerings, and other securities transactions
- Assist clients with securities law compliance, disclosure obligations, and corporate governance matters
- Conduct legal due diligence and coordinate transaction execution across multidisciplinary deal teams
- Work closely with clients, investment banks, underwriters, and other transaction participants throughout the deal process
- Collaborate with attorneys across private equity, M&A, finance, tax, and executive compensation practices
Qualifications
- 4–6 years of securities-related and/or capital markets transactional experience
- Experience representing issuers, sponsors, underwriters, or investors in sophisticated securities transactions
- Strong understanding of federal securities laws, public company disclosure requirements, and capital markets practices
- Excellent drafting, negotiation, analytical, and project management skills
- Outstanding academic credentials and attention to detail
- Ability to manage multiple complex transactions in a fast-paced environment
Compensation & Benefits
- Base salary range: $310,000 – $390,000
