Investment Funds Associate (4th–6th Year) – Secondaries & Liquidity Transactions
Direct Counsel represents a well-regarded Am Law firm seeking a mid-level associate (4th–6th year) to join its premier Investment Funds practice. This is a standout opportunity to work with leading global sponsors, asset managers, and institutional investors on some of the most sophisticated transactions in the private capital space. The team advises across the full lifecycle of private funds, with a strong focus on complex liquidity solutions and secondaries transactions. You’ll gain exposure to high-profile deals and cutting-edge structures in a fast-growing, high-demand area of the market.
What You’ll Do:
- Advise fund sponsors and investors on liquidity transactions, including continuation funds, recapitalizations, and LP portfolio sales
- Support GP- and fund-level preferred equity investments and strategic sponsor transactions
- Work closely with clients on fund structuring, secondaries, and operational matters
- Collaborate with cross-border teams on sophisticated, multi-jurisdictional deals
What We’re Looking For:
- 3 years of experience in investment funds, secondaries, or private equity transactions
- Experience with liquidity transactions and fund structuring strongly preferred
- Strong drafting, analytical, and deal management skills
- Ability to operate in a fast-paced, collaborative environment
- J.D. with strong academic credentials and admission to a U.S. Bar (or eligibility)
