Position Summaryπ:
Prominent LA-based full-service law practice seeks a Real Estate Transactional Paralegal to provide comprehensive support for commercial real estate, financing, and corporate transactions from due diligence through closing and post-closing matters. This role will work closely with attorneys, clients, lenders, title companies, and opposing counsel to facilitate complex acquisitions, dispositions, financings, entity formations and other strategic business transactions.
General Responsibilitiesπ’:
- Support commercial real estate acquisitions, dispositions, financings, refinancings, closings and other transactional matters throughout all phases of a transaction.
- Conduct and coordinate title and survey due diligence for commercial transactions nationwide.
- Review and analyze title commitments, title policies, endorsements, UCC search reports, ALTA/NSPS surveys, zoning reports and related due diligence materials.
- Draft title memoranda, title objection letters, title curative documents, closing checklists, and closing binders.
- Prepare and file UCC-1 financing statements, UCC-3 amendments, continuations, assignments and terminations.
- Coordinate with title companies, lenders, borrowers, sellers, purchasers, opposing counsel and other transaction parties to facilitate successful closings.
- Assist with post-closing matters, including recording, filing and maintenance of transaction records.
- Support mergers and acquisitions, corporate reorganizations, financings, joint ventures and other business transactions.
- Draft and prepare corporate resolutions, written consents, secretary certificates, disclosure schedules, organizational documents and ancillary transaction documents.
- Prepare entity formation documents for corporations, limited liability companies and partnerships.
- File formations, qualifications, amendments, mergers, dissolutions, annual reports and other Secretary of State filings.
- Maintain corporate records, organizational charts and entity information.
- Manage due diligence review, document organization, execution processes and closing deliverables.
- Coordinate transaction timelines, signature packages and closing requirements.
- Organize and maintain virtual data rooms and document management systems.
- Collaborate effectively with internal stakeholders and external advisors to ensure timely transaction execution.
Qualificationsπ:
- Bachelor's degree and Paralegal Certificate required.
- 5 years of transactional paralegal experience, preferably with a major law firm or sophisticated in-house legal department.
- Demonstrated experience supporting complex commercial real estate acquisitions, dispositions, financings and corporate transactions.
- Strong knowledge of title and survey review, real estate finance, corporate formations, governance documents and UCC filing requirements.
- Experience managing transactions from due diligence through closing and post-closing.
- Excellent organizational, analytical, and project management skills with strong attention to detail.
- Ability to manage multiple transactions simultaneously and work independently in a fast-paced environment.
- Proficiency with Microsoft 365, document management systems, and virtual data room platforms.
Annual Compensationπ΅/Salaryπ° & Benefits:
