Position Summary:

We are looking for a full-time Contracts Attorney to draft, review, and negotiate commercial agreements for Continental General and its affiliates. The primary focus of this role is supporting our insurance Third-Party Administrator (TPA) affiliate - including administrator agreements, TPA client due diligence questionnaires (where applicable), and RFI/RFP process responses for prospective TPA and administrator relationships. This role owns the end-to-end TPA contracting process from intake through execution, while also handling other commercial contracts (vendor, procurement, real estate, and similar agreements) as workload and business needs require. This role works closely with Compliance, Operations, the TPA Client Partnership team, and other business stakeholders to ensure new and renewed contractual arrangements meet the company's legal, regulatory, and risk standards. The candidate should be comfortable working on business-facing deliverables under tight timelines.


Key Responsibilities:

  • Maintain and update the company's TPA contract templates, due diligence and RFP response materials, and contract review standards to reflect current legal, regulatory, and licensing requirements.
  • Draft, review, and negotiate TPA and administrator agreements, amendments, and related exhibits (e.g., data security, HIPAA Business Associate Agreements, service level agreements, step-in rights) on behalf of Continental General and its affiliates — this is the primary focus of the role.
  • Own and manage the TPA contracting process end-to-end — from intake and business requirements gathering through drafting, negotiation, internal approvals, execution, and post-signature tracking.
  • Lead legal review and drafting of responses to RFIs, RFPs, and due diligence questionnaires involving prospective or existing TPA/administrator relationships, coordinating input from Compliance, Operations, IT/Security, and other stakeholders.
  • Draft, review, and negotiate other commercial agreements as needed — including vendor, procurement, real estate, and similar non-TPA agreements — to support the broader Legal department's contracting workload.
  • Identify, flag, and negotiate resolution of legal and business risk in contracts, including subcontracting, offshore restrictions, licensing (TPA/adjuster, where applicable), audit rights, indemnification, insurance, data security, and termination/transition provisions.
  • Coordinate with state licensing and regulatory teams to confirm TPA/administrator licensing requirements are addressed in contract terms and the RFP process.
  • Track contract status, key dates, and renewal/termination/transition deadlines; escalate time-sensitive items appropriately.
  • Partner with business owners and Compliance to understand program objectives and translate them into contract and RFP terms.
  • Coordinate with outside counsel on specialized or higher-risk transactions as needed.
  • Advise internal stakeholders on contract interpretation, compliance, and dispute avoidance.
  • Maintain thorough and organized contract and RFP file and documentation.
  • Perform other duties as assigned.


  • Experience working in the insurance industry (LTC, life, annuity), either at a carrier or TPA, strongly preferred.
  • Strong contract drafting, review, and negotiation skills; experience with insurance TPA, administrator, or similar outsourced-services agreements strongly preferred.
  • Experience with, or strong aptitude for, RFP/RFI response processes, including coordinating cross-functional input under deadline pressure.
  • Ability to communicate clearly and effectively, both verbally and in writing, with attorneys and non-attorneys alike.
  • Ability to manage a high volume of contracts and RFP responses simultaneously across multiple contract types and meet deadlines in a fast-paced environment.
  • Ability to leverage legal technology tools — including contract lifecycle management (CLM) platforms and AI-assisted drafting — to improve efficiency and consistency in contracting workflows.
  • Sound legal judgment and ability to identify and escalate material risk appropriately.
  • Excellent organizational skills and attention to detail.
  • Ability to work both independently and collaboratively across departments, including Compliance, Operations, and IT/Security.
  • Proficiency with Microsoft Office and standard contract/document management tools.
  • Familiarity with insurance regulatory requirements, TPA/adjuster licensing, HIPAA, and data security/privacy provisions is strongly preferred.

Experience & Skills Qualifications:

  • J.D. from an ABA-accredited law school.
  • Active license to practice law in Texas, or eligibility for admission (including in-house counsel registration, as applicable).
  • 3 years of relevant contracts, transactional, or commercial law experience; experience with TPA/administrator agreements and RFP processes preferred, with insurance industry/in-house experience a plus.

Salary : $94,850 - $155,825
