Summary
Provides paralegal support to attorneys and senior paralegals and performs administrative duties as assigned. Specific duties and responsibilities include, but are not limited to, the following:
Responsibilities
All facets of emerging company and venture fund work including:
o Preparation and maintenance of organizational documents
o Preparation of partnership and limited liability company agreements
o Preparation of side letters, transfer agreements, admission agreements and other amendments
o Conducting investor suitability due diligence
- Research of Federal and State securities regulations in connection with fund formations
- Preparation and filing of requisite notices
- Conduct due diligence review of documents and with the preparation of opinions and backup in connection with fund formation
- Handle SEC compliance reporting on behalf of venture fund clients with respect to their public company stock portfolios
- Turn in time sheets, e-timelogs and fulfill other administrative duties in a timely fashion
- All other duties as assigned or required
Skills & Experience
- Available to work overtime, as required
- After orientation at the firm, exhibit proficiency in the Microsoft Office suite, iManage and other firm applications
- Bachelor’s Degree
- Bill a minimum of 1600 hours annually
- Minimum of 1 year experience as a Fund Formation Paralegal

The expected annual pay range for this position with a work schedule of 40 hours per week is $76,960.00-$114,400.00 annually, plus overtime and bonus. Please note that final offer amount will be dependent on geographic location, applicable experience and skillset of the candidate.
